01 Acceptance of Terms
These Terms & Conditions (“Terms”) are a legal agreement between you and Pamir Logistics LLC, d/b/a SkyBridge Logistics (“SkyBridge,” “we,” “us,” or “our”). By accessing or using SkyBridgeLog.com (the “Site”), submitting a quote request, or otherwise using Site features, you agree to these Terms and our Privacy Policy.
If you use the Site on behalf of a company or other organization, you represent that you have authority to act for and bind that organization with respect to your use of the Site. If you do not agree to these Terms, do not use the Site.
02 Our Role as a Freight Broker
SkyBridge arranges transportation between shippers and independent motor carriers. SkyBridge is a freight broker and does not operate the motor vehicles that physically transport freight. The selected motor carrier remains responsible for the operation of its equipment, drivers, transportation services, and primary cargo and automobile liability obligations, subject to applicable law and written agreements.
Nothing on the Site creates a motor-carrier relationship between SkyBridge and a shipper, consignee, or other user. References to “our trucks,” “our network,” “delivery,” or similar marketing language should be understood in the context of brokerage and logistics coordination unless a separate written agreement expressly states otherwise.
03 Site Use & Eligibility
The Site is intended for lawful business and commercial use. You may use it only if you are legally capable of entering into binding agreements and your use does not violate applicable law, regulation, contract, or third-party right.
We may change, suspend, restrict, or discontinue Site features at any time. Site availability is not guaranteed, and maintenance, outages, third-party dependencies, or security events may affect access.
04 Quotes & Rates
Website, telephone, email, or other preliminary freight quotes are based on the information supplied and the market conditions known at the time. Unless confirmed in a written SkyBridge rate confirmation or other binding written agreement, a quote is an estimate and does not by itself reserve capacity or create a shipment contract.
Rates may change when shipment facts change or when additional charges apply, including changes in origin or destination, commodity, weight, dimensions, freight class, equipment, dates, loading conditions, fuel, market capacity, detention, layover, truck ordered not used, reconsignment, lumper charges, tolls, storage, redelivery, special handling, permits, escorts, or other accessorial services.
Accuracy matters. A quote is only as accurate as the shipment information provided. Materially inaccurate or incomplete information may result in repricing, delay, refusal, or additional charges.
05 Booking & Contract Priority
A load is considered booked only when SkyBridge confirms the shipment through an authorized written booking, rate confirmation, customer agreement, or comparable written acceptance. Oral discussions, automated messages, or Site submissions do not override a later written confirmation.
For a particular shipment, the applicable signed customer agreement, rate confirmation, bill of lading, carrier agreement, or other written transportation document may contain additional or different terms. To the extent of a direct conflict, the more specific transaction document controls over these general Site Terms, subject to applicable law.
06 Shipper Responsibilities
Shippers and their representatives are responsible for providing complete and accurate information needed to quote, tender, and lawfully transport freight. This may include:
- accurate origin, destination, pickup and delivery appointments, contacts, and facility requirements;
- commodity description, quantity, weight, dimensions, freight class, declared or replacement value where relevant, and packaging information;
- equipment and temperature requirements, if any;
- hazardous-material, regulated, high-value, food-grade, pharmaceutical, controlled-temperature, oversized, or other special-handling status;
- accurate documentation, labels, bills of lading, permits, customs or government documents when applicable; and
- safe and lawful loading, packaging, blocking, bracing, securing, and preparation of freight except to the extent a written agreement assigns a specific duty elsewhere.
The shipper must provide timely access to facilities and freight and must not tender unlawful, undisclosed, improperly packaged, or unsafe cargo.
07 Regulated, Hazardous & Prohibited Freight
You may not tender illegal goods or goods whose transportation would violate law, regulation, sanctions, embargoes, safety requirements, carrier restrictions, or an applicable written agreement.
Hazardous materials, dangerous goods, firearms or controlled items, high-value commodities, temperature-sensitive freight, food or pharmaceuticals, oversized/overweight loads, or other regulated freight must be fully disclosed before booking and may require prior written approval, specialized carriers, permits, higher insurance, additional documentation, or different terms. SkyBridge may decline any shipment that cannot be lawfully or safely arranged.
08 Motor Carriers & Third-Party Performance
SkyBridge selects and contracts with independent motor carriers and other service providers based on commercial, safety, insurance, availability, and compliance considerations. Motor carriers are independent contractors and are not employees or agents of SkyBridge for purposes of operating their vehicles, supervising drivers, or performing transportation, except as a written agreement or applicable law may provide.
Carrier schedules, transit times, tracking information, equipment availability, and delivery estimates may be affected by traffic, weather, mechanical issues, facility delays, government action, driver-hours rules, market conditions, and other circumstances outside SkyBridge’s direct control.
09 Insurance, Cargo Loss & Claims
Primary cargo and automobile liability coverage for a shipment is the responsibility of the transporting motor carrier, subject to the carrier’s policy, applicable law, and the governing transportation documents. SkyBridge’s contingent cargo coverage, if applicable, is not a substitute for the carrier’s primary cargo insurance.
SkyBridge’s existing service disclosures state that contracted carriers are required to maintain at least $100,000 in cargo coverage and $1,000,000 in automobile liability coverage, with higher cargo limits available on request for qualifying high-value freight. A shipper should request higher limits or special insurance requirements before booking when shipment value or risk warrants them.
Cargo loss, damage, shortage, delay, overcharge, or other transportation claims must be reported promptly and handled under applicable law, the relevant carrier’s procedures, and the governing written agreement. Nothing on the Site waives statutory rights or deadlines or creates insurance coverage beyond the applicable policies and written contracts.
10 Accessorial Charges, Detention & Delays
Additional charges may apply when circumstances require services beyond the assumptions used in the quoted line-haul rate. Examples include detention, layover, lumper fees, stop-offs, storage, redelivery, reconsignment, truck ordered not used, equipment changes, special handling, permits, escorts, tolls, after-hours service, driver assist, or facility-related delays.
Where practicable, SkyBridge will communicate known accessorials. Some charges arise only after service occurs and may be invoiced after delivery with supporting documentation when reasonably available.
11 Payment & Billing
Payment terms, credit terms, due dates, late charges, and billing procedures are governed by the applicable rate confirmation, customer agreement, credit approval, invoice, or other written arrangement. You are responsible for charges properly incurred for services requested or accepted on your behalf.
If an invoice is disputed, you should notify SkyBridge promptly with the invoice number, shipment reference, disputed amount, and supporting basis so the issue can be reviewed.
12 Electronic Communications
By communicating with us electronically or submitting information through the Site, you consent to receive communications electronically where legally permitted. Electronic records, acknowledgments, rate confirmations, and signatures may be used to the extent permitted by applicable law and the parties’ written agreements.
You are responsible for maintaining accurate contact information and for the security of the email accounts, devices, systems, and credentials you use to communicate with SkyBridge.
13 Intellectual Property
The Site and its original content, branding, graphics, logos, layout, copy, software, and design elements are owned by or licensed to SkyBridge and are protected by applicable intellectual-property laws. Except as expressly permitted, you may not copy, reproduce, scrape, republish, distribute, sell, modify, reverse engineer, or create derivative works from Site content for commercial purposes without written permission.
“SkyBridge Logistics,” associated logos, trade dress, and related brand elements may not be used in a manner that suggests sponsorship, endorsement, or affiliation without authorization.
14 User Submissions & Feedback
You retain ownership of information and materials you submit, subject to the rights necessary for us to use them to respond to your request, operate the Site, provide or arrange services, maintain records, and otherwise perform legitimate business functions described in our Privacy Policy.
If you voluntarily provide feedback, suggestions, or ideas about the Site or our services, you grant SkyBridge a non-exclusive, worldwide, royalty-free right to use that feedback for lawful business purposes without an obligation to compensate you, unless a separate written agreement says otherwise.
15 Prohibited Site Conduct
You may not use the Site to:
- violate law or infringe another person’s rights;
- submit false, fraudulent, misleading, or materially incomplete information;
- introduce malware, exploit vulnerabilities, bypass security controls, probe systems without authorization, or interfere with Site operation;
- impersonate another person or organization or misrepresent your authority;
- harvest data or use automated scraping in a manner that burdens, disrupts, or circumvents Site controls; or
- use Site content or systems to facilitate fraud, cargo theft, double brokering, unlawful transportation, or other abusive activity.
16 Third-Party Websites & Services
The Site may rely on or link to third-party analytics, mapping, communications, compliance, payment, carrier, social-media, or other services. SkyBridge does not control third-party systems and is not responsible for their independent terms, privacy practices, availability, security, or content. Your use of a third-party service may be governed by separate terms between you and that provider.
17 Site Disclaimers
To the fullest extent permitted by law, the Site and its general informational content are provided “as is” and “as available.” SkyBridge disclaims warranties regarding uninterrupted availability, error-free operation, completeness, merchantability, fitness for a particular purpose, and non-infringement to the extent those warranties may lawfully be disclaimed.
Marketing statements, service descriptions, transit-time examples, coverage descriptions, technology features, or performance statistics on the Site are general information and do not replace a shipment-specific written commitment.
18 Limitation of Liability
To the fullest extent permitted by applicable law, SkyBridge will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising solely from use of or inability to use the Site, including loss of profits, data, business opportunities, or goodwill, even if advised of the possibility of such damages.
Transportation-related liability—including cargo loss, damage, delay, payment, or service claims—is governed by applicable law and the specific written transportation agreements and documents applicable to the shipment. Nothing in these Terms limits liability that cannot lawfully be limited or excluded.
19 Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless SkyBridge and its officers, directors, employees, and agents from third-party claims, losses, liabilities, damages, and reasonable costs arising from your unlawful use of the Site, your material breach of these Terms, your infringement of another party’s rights, or materially false information you provide.
This general Site indemnity does not replace or expand shipment-specific indemnity obligations contained in a separately executed customer, carrier, or transportation agreement.
20 Force Majeure & Events Beyond Control
SkyBridge is not responsible for delay or failure in Site availability or performance caused by events reasonably beyond its control, including severe weather, natural disaster, fire, flood, war, terrorism, civil unrest, epidemic or public-health emergency, government action, labor disruption, carrier or facility disruption, cyberattack, telecommunications or utility outage, infrastructure failure, or other force-majeure event, subject to any different obligations in a binding written transportation agreement.
21 Governing Law
These general Site Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except to the extent federal transportation law or another mandatory law applies. Shipment-specific agreements may include their own governing-law, venue, claims, or dispute-resolution provisions.
22 Changes to These Terms
We may update these Terms from time to time. The effective date at the top identifies the current version. Updated Terms become effective when posted unless a later date is stated. Changes do not retroactively alter a separately executed shipment agreement except as that agreement or applicable law permits.
23 General Terms
If a provision of these Terms is held unenforceable, the remaining provisions remain in effect to the extent permitted by law. A failure to enforce a provision is not a waiver of future enforcement. Headings are for convenience and do not limit interpretation.
You may not assign your rights under these Site Terms in a way that materially increases SkyBridge’s obligations without our written consent. SkyBridge may assign these Terms in connection with a merger, acquisition, restructuring, financing, or transfer of its business or assets, subject to applicable law.
